Sales conditions Migale BV

The following conditions apply to all sales. Deviations from this can only be made in writing.


Quotations

Each quotation is only valid for a period of 4 weeks, unless expressly stated otherwise in writing in the quotation itself.


Orders / Assignments

Orders / Assignments are only accepted in writing after you have approved our written quotation, which will be sent to you by e-mail. Only then will the agreement be concluded.

For orders / assignments with a net value of less than €75.00, an administrative fee of €25.00 per order will be charged.


Delivery terms / Execution terms

The delivery terms / execution terms that are stated are not binding and are only provided as information.

Failure to comply with a delivery term / execution term can never be regarded as a breach of contract and cannot give rise to compensation.

All unforeseen circumstances that impede the delivery / execution, both in our warehouse / training center, at our suppliers, at our possible subcontractors and at the client itself, are cases of force majeure.

Any case of force majeure releases us from any liability and can lead to a full or partial suspension or cancellation of the order / assignment without the customer being able to claim any compensation.

If we provide transport or shipping, the merchandise / (rented) equipment always travels at the buyer's risk. Upon departure of the merchandise from our warehouses, the merchandise / (rented) material has been accepted by the customer.


Transportation costs

Migale BV supplies ex-works as standard. A transport cost will be charged for deliveries / orders, unless expressly agreed otherwise in writing. The transport cost is stated on both the quotation and the invoice.


Complaints

The Migale BV team strives for high quality and a careful way of working. Despite everyone's efforts, it may still happen that something does not quite meet your expectations and that you have a complaint about our operation. In the first instance, we recommend that you address your complaint directly to the relevant employee of Migale BV and/or his/her manager. This way they can try to meet your expectations. All employees of Migale BV are open to your feedback at any time in a professional manner. You can always formulate your complaint in writing by email or letter. We will then contact you as soon as possible and investigate the complaint in accordance with our internal complaints procedure.


Any objection regarding delivered products/services performed must be made within seven calendar days after delivery or execution of the order. It must be done by email or registered letter and must be motivated. In the absence of an objection within the set period, the delivery / service is deemed to have been accepted. After this period, no complaints can be accepted, the assignment is deemed to have been carried out according to the client's wishes and goods will neither be taken back nor replaced. A defect in the merchandise or non-conformity will at most lead to the replacement of the merchandise in question, without the customer being able to claim any compensation of any kind. Our liability is therefore limited to the replacement of the delivered merchandise and we cannot be held liable in any way for any damage whatsoever.


Retention of title

All goods remain the property of Migale BV until they have been paid in full by the customer.


Trainings

Upon registration, the client undertakes to participate in the training program.

In case of force majeure, Migale can move courses in consultation with the client.


Cancellation / change

Cancellations / changes are always done in consultation with Migale.

In case of cancellations by the client, the full amount is due if Migale has no possibility to reschedule the time that has become available.

In case of changes by the client, the full amount is due if Migale has no possibility to reschedule the assignment / training according to the wishes of the client.

In case of a no-show for a training, the full course fee is always due.

Terms of payment

All invoices are payable in Puurs-Sint-Amands to the bank account of Migale, 30 days from the invoice date and without discount, unless expressly stated otherwise in writing in the quotation itself or unless prepayment of the invoice was requested.

If the invoices are not paid on the due date, an interest of 12% per year from the invoice date will be charged by operation of law and without any notice of default being required. The invoice amount will also be increased by a compensation of 10% with a minimum amount of 40.00 euros. This also happens by operation of law and without any notice of default being required.


Applicable law

Belgian law applies and all possible disputes fall under the exclusive jurisdiction of the courts of Antwerp.
